HOPKINSVILLE, KY (CHRISTIAN COUNTY NOW) – Eric Lee, CEO of Jennie Stuart Health stated that a lawsuit filed against the hospital has been dismissed. The lawsuit was initiated by the Save Jennie Stuart group on Dec. 6, aimed to halt the hospital’s merger with Deaconess, an Indiana based hospital group.
SJS previously shared that the decision to pursue a lawsuit was made after a careful investigation of the value of the hospital and a consultation with financial experts. “The complaint alleges that the fair market value of Jennie Stuart is substantial, and the Jennie Stuart Board has breached its fiduciary duties to the Hospital by agreeing to essentially transfer the hospital and all of its assets to Deaconess with insufficient consideration coming back to the community,” said a news release from SJS in December.
After joining at the Christian County Court before the new year, Jennie Stuart Health and Save Jennie Stuart reached an agreement. “I am pleased to share that our Board has reached an understanding to dismiss the recently filed litigation against the transaction, creating a path to reach a definitive agreement early next year,” wrote Lee in a memo to the JSH team which was shared with Christian County Now.
The memo continued, “While we were hopeful to reach an agreement with Deaconess by year end (2024), it was agreed that Jennie Stuart will continue its ongoing due diligence with Deaconess through March 2025. At that time, we expect our Board to vote on the transaction.”
As of right now, the Save Jennie Stuart group is waiting on court recommendation on how to proceed.
